Terms of service
Terms of Service
uUniverse Limited trading as Sky & Stone | House of Yoga
Last updated: 30 October 2026
1. THESE TERMS
1.1 What these terms cover
These are the terms and conditions on which we supply products to you via our website at www.skyandstone.co.uk (the “Site”). “Products” means:
- Memberships (rolling monthly yoga memberships with classes and perks);
- Class passes (pre‑paid single classes and/or bundles of classes);
- Retail products (currently drinks sold or provided before and after classes);
- Corporate packages (class bundles, workshops or events supplied to businesses); and
- Any related services we may offer in future.
All classes are in-person only.
1.2 Why you should read them
Please read these terms carefully before you place an order or sign up for a membership. They tell you who we are, how we will provide products to you, how you and we may change or end the contract, what to do if there is a problem and other important information. If you think there is a mistake in these terms, please contact us to discuss.
1.3 Are you a business customer or a consumer?
In some areas you will have different rights under these terms depending on whether you are a business or a consumer. You are a consumer if:
- you are an individual; and
- you are buying products from us wholly or mainly for your personal use (not for use in connection with your trade, business, craft or profession).
1.4 If you are a business customer this is our entire agreement with you
If you are a business customer, these terms constitute the entire agreement between us in relation to your purchase. You acknowledge that you have not relied on any statement, promise, representation, assurance or warranty made or given by or on behalf of us which is not set out in these terms.
2. INFORMATION ABOUT US AND HOW TO CONTACT US
2.1 Who we are
We are uUniverse Limited, a company registered in England and Wales (company number 15663387). Our registered office is at [TBC]. We trade as Sky & Stone | House of Yoga.
2.2 How to contact us
You can contact us by:
- Email: hello@skyandstone.co.uk
- Post: TBC
2.3 How we may contact you
If we need to contact you, we will do so by telephone or by writing to you at the email address or postal address you provided to us in your order or account.
2.4 “Writing” includes emails
When we use the words “writing” or “written” in these terms, this includes emails.
3. OUR CONTRACT WITH YOU
3.1 How we will accept your order
Our acceptance of your order will take place when the Site confirms your order and payment. At that point, a contract will come into existence between you and us.
3.2 If we cannot accept your order
If we are unable to accept your order, we will inform you of this and will not charge you for the product. This might be because the product is out of stock, because our membership quota is full, because of unexpected limits on our resources which we could not reasonably plan for, because we have identified an error in the price or description of the product, or because we are unable to meet a start date you have specified.
3.3 Your order confirmation
We will confirm your order when we accept it. Your order confirmation will set out the products purchased and key details (for example, membership type, pass type, start date or validity period).
4. OUR PRODUCTS, PASSES AND MEMBERSHIPS
4.1 Memberships
Memberships are rolling monthly subscriptions that:
- begin on the day you place your order (the “Start Date”);
- are charged monthly in advance on the same calendar day each month (or the nearest available day);
- include a set number of classes per month, or unlimited classes per month as specified, as well as certain perks (for example, discounted drinks, free guest passes and priority waiting list access), as described on the Site;
- do not allow unused classes to roll over to the next month; and
- continue until you or we end the membership in accordance with these terms.
Specific membership types, prices and perks are set out on the Site and may be updated from time to time. Membership perks are subject to availability and any reasonable conditions stated on the Site or in the relevant membership description. Guest passes may be subject to class availability, booking limits and any eligibility requirements.
4.2 Class passes
Class passes are pre‑paid single class and/or bundles of classes that:
- are valid for a specified period from the date of purchase (the “Validity Period”), as shown at checkout and in your confirmation;
- must be used within the Validity Period;
- do not roll over or extend beyond the Validity Period; and
- may be subject to availability when booking classes.
4.3 Retail products (drinks)
We currently provide drinks before and after classes, including bespoke drinks made to order. These are supplied on a one‑off basis at the point of sale in the studio. Prices and availability may vary. Allergen information for our drinks is available on request and at the point of sale. Please see clause 5.6 for important information about allergens and bespoke drinks.
4.4 Products may vary slightly from their pictures
The images of the products on our Site are for illustrative purposes only. Although we have made every effort to display colours and settings accurately, we cannot guarantee that a device’s display accurately reflects the colour or appearance of the products. Your product may vary slightly from those images.
4.5 Making sure your information is accurate
If we are providing services or access based on information you have given us (for example, health information, contact details or preferred class times), you are responsible for ensuring that this information is correct and up to date. You can update your details via your account or by contacting us.
4.6 Corporate packages
Corporate packages are bespoke class bundles, workshops or events supplied to businesses. Key terms (including number of sessions, validity period, location, pricing and participant numbers) will be set out in your order confirmation or a separate corporate booking confirmation. Where any specific corporate terms are agreed in writing, those terms will prevail over these terms in relation to that package, except for any non‑excludable legal rights.
Corporate packages may be subject to additional written booking terms, including cancellation charges, payment dates, participant numbers, venue responsibilities and any travel or equipment costs. Those terms will form part of the contract once accepted by both parties.
5. HEALTH, PHYSICAL ACTIVITY AND STUDIO ETIQUETTE
5.1 Medical conditions and health declarations
Yoga and somatic movement involve physical activity. Before attending, you should consider whether the class is suitable for you and provide accurate information about any relevant injury, medical condition, pregnancy, post-natal status, disability, access requirement or other health consideration. You should seek medical advice where appropriate. We may ask for further information or recommend that you seek medical advice where we reasonably consider this necessary for safety. Providing health information does not guarantee that a class is suitable for you, and our classes, including any suggestions or recommendations offered by teachers, are not a substitute for medical advice.
5.2 Responsibilities during class
You are responsible for monitoring your own physical condition during any session. You must:
- Listen to your body and work within your own physical limits;
- Stop immediately and inform the instructor if you feel pain, discomfort, dizziness, or faintness;
- Inform the teacher prior to the start of class of any pre-existing injuries, medical conditions, or if you are pregnant or post-natal; and
- Follow all reasonable instructions and safety guidelines provided by our teachers and staff.
5.3 Assumption of risk
You understand that participation in physical exercise carries an inherent risk of minor or serious physical injury. You voluntarily assume those inherent risks. Nothing in these terms excludes or limits our liability for death or personal injury resulting from our negligence or breach of duty under the Occupiers' Liability Act 1957.
5.4 Loss of personal property
We are not responsible for the loss, theft, or damage of any personal belongings, valuables, or clothing brought into the studio or left in changing facilities, except where such loss or damage is directly caused by our negligence.
5.5 Studio etiquette and conduct
We reserve the right to refuse admission or request that you leave the premises if you behave in a disruptive, unsafe, or abusive manner towards our staff, instructors, or other attendees.
5.6 Bespoke drinks and allergens
We may offer bespoke drinks before and after certain classes. By ordering or consuming any bespoke drink:
- You confirm that you have read any allergen information we provide (on our menu boards, price lists, labels, website or booking system) and that you understand it is your responsibility to check this information before consuming.
- You agree to inform us of any relevant food allergies, intolerances or dietary restrictions you have before placing your order.
- You acknowledge that our studio is a small food preparation environment and, although we take reasonable care to avoid cross‑contact, we cannot guarantee that any drink is completely free from allergens. All drinks are prepared using shared equipment and in shared spaces.
We will provide allergen information for our standard drinks on request and at the point of sale. If you have a severe or life‑threatening allergy (for example to nuts, dairy, soy, gluten or any other ingredient), please speak to a member of staff before ordering. If we are unable to confirm that a drink can be prepared safely for you, we may decline to serve that item for your safety.
Nothing in this clause excludes or limits our liability for death or personal injury caused by our negligence, or any other liability that cannot lawfully be excluded or limited.
6. YOUR RIGHTS TO MAKE CHANGES
If you wish to make a change to the product you have ordered (for example, changing a class time, membership type or pass type), please contact us. We will let you know if the change is possible. If it is possible, we will let you know about any changes to the price, timing or anything else which would be necessary as a result of your requested change and ask you to confirm whether you wish to go ahead.
7. OUR RIGHTS TO MAKE CHANGES
7.1 Minor changes to the products
We may change the product:
- to reflect changes in relevant laws and regulatory requirements; and
- to implement minor technical adjustments and improvements.
These changes will not negatively affect your use of the product.
7.2 More significant changes to the products and these terms
We may make more significant changes to a product (for example, timetable changes, room changes, teacher changes, format changes, price changes for future renewals, or changes to membership perks). If we do so, we will notify you by email or via the Site. You may then contact us to end the contract before the changes take effect and receive a refund for any products paid for but not received, where applicable.
8. PROVIDING THE PRODUCTS
8.1 Delivery costs
For retail products (drinks), any applicable costs will be shown at the point of sale in the studio or at checkout where offered. For memberships and class passes, any applicable fees will be shown at checkout.
8.2 When we will provide the products
- Memberships: Access will begin on the Start Date shown in your order confirmation or account. Monthly charges will commence on that date and recur monthly thereafter until the membership is cancelled.
- Class passes: Access to book classes will begin once payment is confirmed. Classes must be booked and taken within the Validity Period.
- Retail products (drinks): Supplied immediately after purchase in the studio.
8.3 Pausing and cancelling memberships
You may pause your rolling monthly membership at any time, for a minimum period of seven days, by giving us at least seven days’ notice before the date you wish the pause to start. During a pause, you will not be charged and will not have access to your membership benefits.
A pause must last for at least seven days. Unless we agree otherwise in writing, the pause will continue for the period requested and will then end automatically, at which point membership access and monthly charges will resume. We will confirm the pause dates and the revised billing date to you. Pauses are permitted for up to 12 weeks (up to 3 months total) within a single 12-month period.
You may cancel your rolling monthly membership at any time by giving us at least seven days’ notice before the date you wish the cancellation to take effect. Cancellation will take effect at the end of the notice period; you will retain access to your membership benefits until that date. We will not refund any part of the current month’s fee except where required by law or under clause 10.2.
If the notice period ends after your next scheduled billing date, the next monthly payment may still be taken and your membership will continue until the end of the relevant notice period. We will not charge beyond the effective cancellation date.
8.4 We are not responsible for delays outside our control
If our supply of the products is delayed by an event outside our control (for example, illness, venue issues, extreme weather, utility failures or transport disruption), we will contact you as soon as possible to let you know. Provided we do this, we will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact us to end the contract and receive a refund for any products you have paid for but not received.
8.5 Collection or attendance by you
Where you have purchased a class, workshop, event or session, you are responsible for attending at the correct time and location. If you do not attend, your place may be forfeited unless you have cancelled in line with our cancellation policy (see clause 9).
8.6 If you do not allow us to provide services
If you do not allow us to perform the services as arranged (and you do not have a good reason for this), we may charge you additional costs incurred by us as a result.
8.7 When you become responsible for access
Your attendance is your responsibility from the scheduled start time.
8.8 When you own goods
You own any retail products (drinks) once we have received payment in full and the item has been handed to you.
8.9 What will happen if you do not give required information to us
We may need certain information from you so that we can supply the products to you (for example, health information, emergency contact details or accessibility requirements). If you do not give us this information within a reasonable time of us asking for it, or if you give us incomplete or incorrect information, we may either end the contract (and clause 10.2 will apply) or make an additional charge of a reasonable sum to compensate us for any extra work that is required as a result. We will not be responsible for supplying the products late or not supplying any part of them if this is caused by you not giving us the information we need within a reasonable time.
8.10 Reasons we may suspend the supply of products to you
We may have to suspend the supply of a product to:
- deal with technical problems or make minor technical changes;
- update the product to reflect changes in relevant laws and regulatory requirements;
- make changes to the product as requested by you or notified by us (see clause 7).
8.11 Your rights if we suspend the supply of products
We will contact you in advance to tell you we will be suspending supply of the product, unless the problem is urgent or an emergency. If we have to suspend the product for longer than one month in any six‑month period, we will adjust the price so that you do not pay for products while they are suspended. You may contact us to end the contract for a product if we suspend it, or tell you we are going to suspend it, in each case for a period of more than one month, and we will refund any sums you have paid in advance for the product in respect of the period after you end the contract.
8.12 We may also suspend supply of the products if you do not pay
If you do not pay us for the products when you are supposed to (see clause 16.4) and you still do not make payment within 7 days of us reminding you that payment is due, we may suspend supply of the products until you have paid us the outstanding amounts. We will contact you to tell you we are suspending supply of the products. We will not suspend the products where you dispute the unpaid invoice (see clause 16.7). We will not charge you for the products during the period for which they are suspended. As well as suspending the products, we can also charge you interest on your overdue payments (see clause 16.6).
9. CANCELLATIONS, LATE CANCELLATIONS AND NO‑SHOWS
9.1 Cancellation window
For all booked classes (whether attended using a membership or a class pass), you must cancel at least 12 hours before the scheduled class start time if you are unable to attend.
9.2 Class passes
If you cancel a class less than 12 hours before the start time, or if you do not attend without cancelling (“no‑show”), the class will be deducted from your pass and will not be returned or refunded.
9.3 Memberships – permitted late cancellations
As a member, you may cancel one class per membership month inside the 12‑hour window without penalty. This is intended for occasional use in case of unexpected circumstances.
A no-show counts as a late cancellation for the purposes of the one permitted late cancellation per membership month.
9.4 Memberships – late cancellation / no‑show fee
If, in any membership month, you:
- cancel more than one class inside the 12‑hour window; or
- fail to attend a booked class without cancelling;
we may charge you a £5 late cancellation / no‑show fee for each additional occurrence in that month. This fee will be charged to the payment method you have provided and will appear on your next invoice or as a separate charge.
9.5 How to cancel a class
You can cancel a class via your account on the Site or via the booking system (Junocal). We recommend cancelling as early as possible to allow others to take your place.
9.6 If we cancel a class
If we cancel a class, the class will not be deducted from a class pass and will not count as a member’s permitted late cancellation. We will offer an alternative booking, credit or refund where appropriate.
10. YOUR RIGHTS TO END THE CONTRACT
10.1 You can always end your contract with us
Your rights when you end the contract will depend on what you have bought, whether there is anything wrong with it, how we are performing, when you decide to end the contract and whether you are a consumer or business customer:
- If what you have bought is faulty or misdescribed, you may have a legal right to end the contract (or to get the product repaired or replaced or a service re‑performed or to get some or all of your money back); see clause 13 if you are a consumer and clause 14 if you are a business.
- If you want to end the contract because of something we have done or have told you we are going to do, see clause 10.2.
- If you are a consumer and have just changed your mind about the product, see clause 10.3.
- In all other cases (if we are not at fault and you are not a consumer exercising your right to change your mind), see clause 10.6.
10.2 Ending the contract because of something we have done or are going to do
If you are ending a contract for a reason set out within this clause, the contract will end immediately and we will refund you in full for any products which have not been provided and you may also be entitled to compensation. The reasons are:
- we have told you about an upcoming change to the product or these terms which you do not agree to (see clause 6.2);
- we have told you about an error in the price or description of the product you have ordered and you do not wish to proceed;
- there is a risk that supply of the products may be significantly delayed because of events outside our control;
- we have suspended supply of the products for technical reasons, or notify you we are going to suspend them for technical reasons, in each case for a period of more than one month; or
- you have a legal right to end the contract because of something we have done wrong.
10.3 Exercising your right to change your mind if you are a consumer (Consumer Contracts Regulations 2013)
If you are a consumer, then for most products bought online you have a legal right to change your mind within 14 days and receive a refund. These rights, under the Consumer Contracts Regulations 2013, are explained in more detail in these terms. A model cancellation form is set out in Schedule 1. You do not have to use this form; you can also cancel by emailing us at hello@skyandstone.co.uk or writing to us at the postal address set out in clause 2.2, provided you give clear notice of cancellation.
For memberships and class passes, your right to change your mind applies from the date of your order confirmation. If you ask us to begin providing the membership or class‑pass services during the 14‑day cancellation period, you expressly request that we do so before the cancellation period has ended. If you later cancel during that period, you may be required to pay for the service supplied up to the time you notify us of cancellation, calculated in proportion to the service provided.
For retail products (drinks), your right to change your mind does not apply once the item has been handed to you and, where relevant, sealed products have been unsealed.
10.4 When consumers do not have a right to change their minds
Your right as a consumer to change your mind does not apply in respect of:
- services, once these have been completed, even if the cancellation period is still running;
- products sealed for health protection or hygiene purposes, once these have been unsealed after you receive them;
- any products which become mixed inseparably with other items after their delivery.
10.5 How long do consumers have to change their minds?
If you are a consumer, how long you have to change your mind depends on what you have ordered and how it is delivered.
- Services: You have 14 days after the day we email you to confirm we accept your order. However, once we have completed the services you cannot change your mind, even if the period is still running. If you cancel after we have started the services, you must pay us for the services provided up until the time you tell us that you have changed your mind.
- Goods: Drinks supplied for immediate consumption are not normally refundable if you change your mind once they have been prepared or handed to you. This does not affect your legal rights if a drink is unsafe, faulty, incorrectly made or not as described.
10.6 Ending the contract where we are not at fault and there is no right to change your mind
Even if we are not at fault and you are not a consumer who has a right to change your mind, you can still end the contract before it is completed, but you may have to pay us compensation. A contract for services is completed when we have finished providing the services and you have paid for them. If you want to end a contract before it is completed where we are not at fault and you are not a consumer who has changed your mind, just contact us to let us know. The contract will end immediately and we will refund any sums paid by you for products not provided, but we may deduct from that refund (or, if you have not made an advance payment, charge you) reasonable compensation for the net costs we will incur as a result of your ending the contract.
10.7 Ending a membership
Memberships may be paused and cancelled in accordance with clause 8.3.
10.8 Ending a class pass
Once purchased, class passes are non‑refundable except where required by law or under clause 10.2. Unused classes will expire at the end of the Validity Period.
11. HOW TO END THE CONTRACT WITH US (INCLUDING IF YOU ARE A CONSUMER WHO HAS CHANGED THEIR MIND)
11.1 Tell us you want to end the contract
To end the contract with us, please let us know by doing one of the following:
- Email: Email us at hello@skyandstone.co.uk. Please provide your name, home address, details of the order and, where available, your phone number and email address.
- Online: Use the contact form on our Site at www.skyandstone.co.uk/pages/contact
11.2 How we will refund you
If you are entitled to a refund under these terms, we will refund you the price you paid for the products including delivery costs, by the method you used for payment. However, we may make deductions from the price, as described below.
11.3 When we may make deductions from refunds if you are a consumer exercising your right to change your mind
If you are exercising your right to change your mind we may deduct from any refund an amount for the supply of the service for the period for which it was supplied, ending with the time when you told us you had changed your mind. The amount will be in proportion to what has been supplied, in comparison with the full coverage of the contract.
11.4 When your refund will be made
We will make any refunds due to you as soon as possible. If you are a consumer exercising your right to change your mind your refund will be made within 14 days of your telling us you have changed your mind.
12. OUR RIGHTS TO END THE CONTRACT
12.1 We may end the contract if you break it
We may end the contract for a product at any time by writing to you if:
- you do not make any payment to us when it is due and you still do not make payment within 7 days of us reminding you that payment is due;
- you do not, within a reasonable time of us asking for it, provide us with information that is necessary for us to provide the products;
- you do not, within a reasonable time, allow us to deliver the products to you or collect them from us; or
- you do not, within a reasonable time, allow us access to our premises or online systems to supply the services.
12.2 You must compensate us if you break the contract
If we end the contract in the situations set out in clause 12.1, we will refund any money you have paid in advance for products we have not provided, but we may deduct or charge you reasonable compensation for the net costs we will incur as a result of your breaking the contract.
13. IF THERE IS A PROBLEM WITH THE PRODUCT
13.1 How to tell us about problems
If you have any questions or complaints about the product, please contact us. You can email us at hello@skyandstone.co.uk. We will aim to respond within 7 working days.
14. YOUR RIGHTS IN RESPECT OF DEFECTIVE PRODUCTS IF YOU ARE A CONSUMER
14.1 Legal duty to supply conforming products
If you are a consumer, we are under a legal duty to supply products that are in conformity with this contract. See the box below for a summary of your key legal rights in relation to the products. Nothing in these terms will affect your legal rights.
Summary of your key legal rights
This is a summary of your key legal rights. These are subject to certain exceptions. For detailed information please visit the Citizens Advice website [www.citizensadvice.org.uk] or call 0808 223 1133.
- If your product is goods: The Consumer Rights Act 2015 says goods must be as described, fit for purpose and of satisfactory quality. During the expected lifespan of your product your legal rights entitle you to the following:
- Up to 30 days: if your goods are faulty, then you can get an immediate refund.
- Up to six months: if your goods can’t be repaired or replaced, then you’re entitled to a full refund, in most cases.
- Up to six years: if your goods do not last a reasonable length of time you may be entitled to some money back.
- If your product is services: The Consumer Rights Act 2015 says:
- You can ask us to repeat or fix a service if it’s not carried out with reasonable care and skill, or get some money back if we can’t fix it.
- If you haven’t agreed a price beforehand, what you’re asked to pay must be reasonable.
- If you haven’t agreed a time beforehand, it must be carried out within a reasonable time.
See also clauses 10.2 and 10.3.
14.2. Physical Goods
Clauses concerning the return or delivery of physical goods apply only if we later offer physical goods for collection, delivery or dispatch. They do not normally apply to drinks prepared and supplied for immediate consumption at the studio.
15. YOUR RIGHTS IN RESPECT OF DEFECTIVE PRODUCTS IF YOU ARE A BUSINESS
15.1 Warranty for business customers
If you are a business customer, we warrant that on delivery, and for a period of 12 months from the date of delivery (“warranty period”), any products which are goods shall:
- conform in all material respects with their description;
- be free from material defects in design, material and workmanship; and
- be of satisfactory quality (within the meaning of the Sale of Goods Act 1979).
15.2 Remedy for breach of warranty
Subject to clause 15.3, if:
- you give us notice in writing during the warranty period within a reasonable time of discovery that a product does not comply with the warranty set out in clause 15.1;
- we are given a reasonable opportunity of examining such product; and
- you return such product to us at our cost,
we shall, at our option, repair or replace the defective product, or refund the price of the defective product in full.
15.3 When we will not be liable
We will not be liable for a product’s failure to comply with the warranty in clause 15.1 if:
- you make any further use of such product after giving a notice in accordance with clause 15.2(a);
- the defect arises because you failed to follow our oral or written instructions as to the storage, installation, commissioning, use or maintenance of the product or, if there are none, good trade practice;
- the defect arises as a result of us following any drawing, design or specification supplied by you;
- you alter or repair the product without our written consent; or
- the defect arises as a result of fair wear and tear, wilful damage, negligence, or abnormal working conditions.
15.4 Limitation of liability for business customers
Except as provided in this clause 15, we shall have no liability to you in respect of a product’s failure to comply with the warranty set out in clause 15.1.
15.5 Repaired or replacement products
These terms shall apply to any repaired or replacement products supplied by us under clause 15.2.
16. PRICE AND PAYMENT
16.1 Where to find the price for the product
The price of the product (which includes VAT) will be the price indicated on the order pages when you placed your order. We take all reasonable care to ensure that the price of the product advised to you is correct. However, please see clause 16.3 for what happens if we discover an error in the price of the product you order.
16.2 We will pass on changes in the rate of VAT
If the rate of VAT changes between your order date and the date we supply the product, we will adjust the rate of VAT that you pay, unless you have already paid for the product in full before the change in the rate of VAT takes effect.
16.3 What happens if we got the price wrong
It is always possible that, despite our best efforts, some of the products we sell may be incorrectly priced. We will normally check prices before accepting your order so that, where the product’s correct price at your order date is less than our stated price at your order date, we will charge the lower amount. If the product’s correct price at your order date is higher than the price stated to you, we will contact you for your instructions before we accept your order. If we accept and process your order where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, we may end the contract, refund you any sums you have paid and require the return of any goods provided to you.
16.4 When you must pay and how you must pay
- For retail products (drinks), you must pay at the point of sale in the studio or in advance on the booking app where offered.
- For memberships and class passes, payment is due at the time of booking or as otherwise stated at checkout. Recurring memberships will be charged in advance on the billing date shown in your account.
16.5 Our right of set‑off if you are a business customer
If you are a business customer, you must pay all amounts due to us under these terms in full without any set‑off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law).
16.6 We can charge interest if you pay late
If you do not make any payment to us by the due date, we may charge interest to you on the overdue amount at the rate of 4% a year above the base rate of the Bank of England from time to time. This interest shall accrue on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment. You must pay us interest together with any overdue amount.
16.7 What to do if you think an invoice is wrong
If you think an invoice is wrong, please contact us promptly to let us know. You will not have to pay any interest until the dispute is resolved. Once the dispute is resolved, we will charge you interest on correctly invoiced sums from the original due date.
17. OUR RESPONSIBILITY FOR LOSS OR DAMAGE SUFFERED BY YOU IF YOU ARE A CONSUMER
17.1 We are responsible to you for foreseeable loss and damage caused by us
If we fail to comply with these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen, for example, if you discussed it with us during the sales process.
17.2 We do not exclude or limit in any way our liability to you where it would be unlawful to do so
This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of your legal rights in relation to the products; and for defective products under the Consumer Protection Act 1987.
18. OUR RESPONSIBILITY FOR LOSS OR DAMAGE SUFFERED BY YOU IF YOU ARE A BUSINESS
18.1 Non‑excludable liabilities
Nothing in these terms shall limit or exclude our liability for:
- Death or personal injury caused by our negligence, or the negligence of our employees, agents or subcontractors (as applicable);
- Fraud or fraudulent misrepresentation;
- Breach of your legal rights in relation to the products, including any rights under the Consumer Rights Act 2015 or other applicable consumer legislation that cannot lawfully be excluded or limited;
- Defective products under the Consumer Protection Act 1987; or
- Any other liability that cannot lawfully be excluded or limited under English law.
18.2 Limitation of liability
Subject to clause 18.1:
- we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with any contract between us; and
- our total liability to you for all other losses arising under or in connection with any contract between us, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the total sums paid by you for products under such contract.
19. HOW WE MAY USE YOUR PERSONAL INFORMATION
We are the data controller responsible for your personal data. We will collect, store, and process your personal information in accordance with applicable UK data protection laws (including the UK GDPR and Data Protection Act 2018) and as set out in our Privacy Notice, available at www.skyandstone.co.uk/policies/privacy-policy.
19.2 Processing of Health and Special Category Data
To ensure your safety during physical classes, we collect health, medical, injury, and pregnancy information (as set out in Clause 5.1). Under UK data protection law, this constitutes "special category health data".
- By submitting health information to us, completing a PAR-Q or registration form, or disclosing medical details to an instructor, you give your explicit consent for us to process this data solely for assessing your fitness to participate and ensuring studio safety.
- You may withdraw your consent to our processing of your health data at any time by emailing us at hello@skyandstone.co.uk. However, if you withdraw consent, we may be unable to allow you to attend classes where we cannot safely evaluate your suitability to practice.
19.3 Operational Communications and Direct Marketing
- Operational Messages: We will send you necessary transactional and administrative communications via email, SMS, or booking system notifications (such as booking confirmations, class schedule changes, billing receipts, and policy updates).
- Marketing: We will only send you promotional materials, newsletters, or special offer details if you have explicitly opted in to receive them or where permitted by law for existing customers (soft opt-in). You can unsubscribe from marketing communications at any time using the link provided in the email or by updating your account preferences.
20. INTELECTUAL PROPERTY
All trademarks, branding, logos, graphics, and instructional content on the Site or provided in studio remain the exclusive intellectual property of uUniverse Limited.
21. OTHER IMPORTANT TERMS
21.1 We may transfer this Agreement to someone else
We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.
21.2 You need our consent to transfer your rights to someone else
You may only transfer your rights or your obligations under these terms to another person if we agree to this in writing.
21.3 Nobody else has any rights under this contract
This contract is between you and us. No other person shall have any rights to enforce any of its terms.
21.4 If a court finds part of this contract illegal, the rest will continue in force
Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
21.5 Even if we delay in enforcing this contract, we can still enforce it later
If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date. For example, if you miss a payment and we do not chase you but we continue to provide the products, we can still require you to make the payment at a later date.
21.6 Which laws apply to this contract and where you may bring legal proceedings if you are a consumer
These terms are governed by English law and you can bring legal proceedings in respect of the products in the English courts. If you live in Scotland you can bring legal proceedings in respect of the products in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of the products in either the Northern Irish or the English courts.
21.7 Which laws apply to this contract and where you may bring legal proceedings if you are a business
If you are a business, any dispute or claim arising out of or in connection with a contract between us or its subject matter or formation (including non‑contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales and the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.
